Clean Harbors, Inc. (Norwell, MA) announced that it has initiated a follow-on public offering of 6 million shares of common stock and that, once the pricing of the stock is determined, it plans to commence a private placement of $550 million of senior notes due 2021. The company said it plans to use the net proceeds of both transactions to finance a portion of its recent purchase of Safety-Kleen, Inc. and its subsidiaries and related transaction fees and expenses.

Clean Harbors Announces Planned $550 Million Senior Notes Offering
Clean Harbors, Inc. ("Clean Harbors") (NYS: CLH) announced today that it plans to commence, promptly following the anticipated pricing of a public offering of 6.0 million shares of Clean Harbors' common stock which Clean Harbors has previously announced, a private placement of $550 million of Senior Notes due 2021 (the "Notes"). Clean Harbors intends to use the net proceeds of both the offering of common stock and the proposed offering of the Notes to finance a portion of the purchase price for its previously announced proposed acquisition of Safety-Kleen, Inc. and its subsidiaries and related transaction fees and expenses.
The Notes will be offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States pursuant to Regulation S under the Securities Act.
