Waste Management Reaffirms Intent to Acquire Republic Services

Waste Management, Inc. WMI today issued the following statement:

The actions by Republic Services' Board announced today do not change our focus on acquiring Republic. Waste Management made its proposal on July 14, 2008, with the objective of presenting Republic's Board and stockholders a transaction intended to serve the interests of all Republic stockholders as well as Waste Management's stockholders. We are working diligently to prepare a response that addresses all of the issues raised by Republic's Board in their letter dated July 18, 2008.

    Waste Management Announces Hart-Scott-Rodino Filing for Intended Acquisition of Republic Services Shares

Waste Management, Inc. (NYSE: WMI) announced that today it is filing a Notification and Report Form under the Hart-Scott-Rodino ("HSR") Antitrust Improvements Act of 1976 relating to purchases of shares of Republic Services, Inc. This filing also will initiate the United States Department of Justice's expected antitrust review of Waste Management's proposed merger transaction with Republic and start the applicable HSR waiting period. Concurrent with the filing, Waste Management is notifying certain states' Attorneys General of Waste Management's HSR filing and intent to purchase Republic's shares. The notifications are being made in accordance with Waste Management's September 20, 1999 consent decree and other agreements with the United States Department of Justice and the states' Attorneys General.
